Sales Distribution Agreement

Party A hereby appoint Party B to act as his selling agent to sell the commodity mentioned below.

Confirmation of Orders
The quantities, prices and shipments of the commodities stated in this Agreement shall be confirmed in each transaction, the particulars of which are to be specified in the Sales Confirmation signed by the two parties hereto.

Payment
After confirmation of the order, Party B shall arrange the payment according to the sales contract, and notify Party A immediately so that Party A can get prepared for delivery.


Party A appoint Party B as the sole agent in .... Party A and Party B should perform following duty:

Duty of Party A:
1,Guarantee the right of Party B as its sole agent in .... and will not be allowed to appoint any other agent there.
2,Give all client information to Party B(including information from investing B2B, searching engine and exhibition)
3,Invest and develop \ new products and projects with Party B according to agent market need.
5,Party A take relative responsibility for quality problem of its products.
6,Help Party B for its purchasing plan in China.
7,Give necessary information and help to Party B such as pictures, catalogue and any other relative product information etc.


Duty of Part B:
1,Present a selling plan to Party A about exhibition, advertising, website and so on
2,Use Party A's picture in promotion.
Recommend and sell in priority for Party A's products
3,Offer market information to Party A so that Party A can develop sellable and profitable products for Party B
4,Make storage to increase local supply speed and lower the cost.

Validity of Agreement
This Agreement, after its being signed by the parties concerned, shall remain in force for ... days from (date) to (date). If either Party wishes to extend this Agreement, he shall notice, in writing, the other party one month prior to its expiration. The matter shall be decided by the agreement and by consent of the parties hereto. Should either party fail to implement the terms and conditions herein, the other party is entitled to terminate this Agreement.

   This Contract is executed in two counterparts each in Chinese and English, each of which shall be deemed equally authentic. This Contract is in 2 copies effective since being signed / sealed by both parties.
